Terms of service

The agreement between you and [REGISTERED COMPANY NAME] for use of StickyTier. We have tried to write it to be read rather than to be survived.

Who can use it

You must be able to enter a contract on behalf of the business you are signing up for. StickyTier is offered to businesses established in India and the United States. We do not currently offer it to businesses established in the European Economic Area or the United Kingdom — see Privacy for why.

It is a tool for businesses. It is not for personal or household use.

What we provide

A hosted loyalty and referral platform: a reward ledger, earning and redemption rules, membership tiers, referrals, campaigns, a member portal, a merchant dashboard and an API. Every plan includes the whole platform; plans differ by how many members and orders they carry. What is on each plan is listed on the pricing page.

We will make reasonable efforts to keep the service available and to warn you before planned maintenance. We do not currently offer a contractual uptime guarantee, and we would rather say so than publish a number we have not built the redundancy to honour.

Your data stays yours

You keep all rights to your data — your programme configuration, your members, your ledger. We claim no ownership and we do not use it to train anything or to build a product for anyone else.

You can export everything, at any time, on any plan, including after you stop paying. Winding a programme down is not a feature we withhold. We grant ourselves only the access needed to run the service for you, to keep it secure, and to support you when you ask.

What you are responsible for

  • The lawfulness of the programme you run. You decide who earns what, how rewards expire and what you email your members. Consumer-protection, promotional and tax rules on those choices are yours to meet.
  • Having the right to give us the data you connect. When you connect a store you are telling us you may lawfully share that customer data with a processor.
  • Your account. Keep your sign-in email secure and remove staff who leave.
  • Not using the service to break the law, to send unsolicited bulk email, or to attack the platform or other tenants.

Paying for it

Plans are billed monthly in advance, in the currency shown at signup. Every plan starts with 7 days free; we do not charge until the trial ends and you can leave during it without paying. If you install through Shopify, charges appear on your Shopify invoice.

Prices can change, but not for you mid-term: we honour the price you subscribed at and will give you at least 30 days' notice before a renewal at a new one. The amount you subscribed at is recorded at signup so a later price change cannot reprice you silently.

Plans carry limits on members and monthly orders — Launch carries 50 members and 100 orders a month. If you exceed them we will contact you about moving to a plan that fits. We will not stop your orders earning or make your members' balances unspendable — see below.

If you stop paying

This is the part most worth reading, because our answer is unusual and deliberate.

Your members are never punished for a billing dispute between us and you. A shopper earned those points by buying something. They have no relationship with us, no way to know an invoice went unpaid, and no way to fix it. So if a subscription lapses or a limit is exceeded:

  • orders keep earning, and refunds keep clawing back correctly;
  • balances stay visible and spendable in the portal and at checkout;
  • expiry and release keep running, because stopping them would silently change what members are owed.

What you lose is the ability to make the programme more expensive: no new rules, no rate changes, no manual credit, no imports, no new API keys. You keep reading, exporting and winding down. We withhold our service, not your customers' money.

Ending it

You can cancel at any time, effective at the end of the period you have paid for. We do not refund part-months. Export your data before or after — it stays available to you either way.

We may suspend or end an account that is being used unlawfully, that is attacking the platform or other tenants, or that is more than 60 days unpaid. Except where the law or an attack in progress makes it impossible, we will tell you first and give you a chance to fix it.

After termination we keep your data for 30 days so you can still export it, then delete it on the schedule in Privacy.

Liability

We provide the service with reasonable skill and care, but without warranties beyond those the law requires and will not let us exclude. Neither of us is liable to the other for indirect or consequential loss, or for lost profits or goodwill.

Our total liability to you for any claim is limited to the fees you paid us in the 12 months before it arose. Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law does not permit us to limit.

Processing data on your behalf

Where we process personal data for you we do so as your processor. If you need a written data processing agreement — most businesses do — ask us at privacy@stickytier.com and we will send one to sign. Our sub-processors are listed publicly at /subprocessors, and we will tell you before adding one.

Changes, law and contact

We may update these terms. For material changes we will tell signed-in merchants at least 30 days before they take effect, and continuing to use the service after that means accepting them. Changes are never retroactive.

These terms are governed by the laws of India, and disputes go to the courts of [CITY], India.
